1. Introduction

By engaging with us for services such as website design, SEO, Google Ads management, social media marketing, graphic design, domain hosting, and automation, you agree to abide by the terms and conditions outlined below. These terms are designed to ensure clarity, fairness, and mutual understanding between DoubleClick and our clients.
2. Scope of Services
2.1 Website Design
Service Overview: Our website design service includes custom design and development tailored to your business needs. We provide responsive designs optimized for various devices.
Content Provision: Clients are responsible for providing all website content, including text, images, and videos. Delays in content provision may result in project delays.
Revisions: The design process includes two rounds of revisions. Any additional revision rounds will be billed at an hourly rate.
Ownership: The website design remains the property of DoubleClick until full payment is received. Upon final payment, ownership of the website is transferred to the client.
Hosting: Hosting is provided as part of our service for the first year. After this period, hosting fees will apply.
SEO and Analytics: Basic SEO setup is included. We also install Google Analytics and other tracking tools to monitor website performance.
2.2 Graphic Design
Logo Design: Includes up to two revision rounds. Additional revisions are billed at an hourly rate.
General Graphic Design: Includes up to two revision rounds. Additional revisions are billed at an hourly rate.
Animation Services: Custom animations are provided as per the agreed project scope. Revisions and adjustments will be billed separately at an hourly rate.
2.3 Domain Hosting
Service Overview: Domain hosting is provided via Afrihost with a soft SLA of 24-48 hours. While we strive to ensure maximum uptime and minimal disruption, we cannot guarantee uninterrupted service and are not liable for any loss of business due to downtime.
Hosting Space: Should your domain reach 90% of its allotted hosting space, we will notify you with upgraded hosting space prices.
2.4 Search Engine Optimization (SEO)
Service Overview: Our SEO services include on-page and off-page optimization, keyword research, content recommendations, and Google My Business setup/maintenance. We do not guarantee specific rankings or results as SEO is influenced by many external factors beyond our control.
2.5 Google Ads Marketing
Service Overview: We offer paid Google Ads management services. DoubleClick is not responsible for any damages, losses, or overspend related to your Google Ads campaigns. All ads are run based on the budget agreed upon with the client.
2.6 Social Media Marketing
Service Overview: Our social media management services include content creation, posting, and engagement across platforms like Facebook, Instagram, Twitter, and LinkedIn. We are not responsible for any opinions shared, errors, or any unintended consequences resulting from social media activities.
2.7 Automation
Service Overview: We implement automation solutions tailored to your business needs. DoubleClick is not responsible for any damages caused by automation failures or malfunctions.
3. Payment Terms
Billing: Services are billed monthly or per project, depending on the agreement. Payment is due within 7 days of invoice issuance.
Grace Period: A grace period of 3 days with an arrears notification starting the 3 days grace period will be sent on the first day of arrears.
Late Payments: Late payments may incur interest charges and could result in the suspension of services until payment is received.
Additional Costs: Any additional work outside the agreed scope will be billed at an hourly rate.
4. Service Delivery
Timelines: We work to deliver services within the agreed timelines. However, timelines may be adjusted due to factors beyond our control, including client delays in providing necessary materials.
Hosting SLA: For domain hosting, we strive to adhere to a 24-48 hour SLA. However, this is a soft SLA and is not guaranteed.
5. Client Responsibilities
Content Provision: Clients are responsible for providing all necessary content in a timely manner. Failure to do so may result in delays.
Approvals: Clients are expected to provide timely approvals for designs, content, and other materials.

7. Performance Guarantees
SEO and Ads: We do not guarantee specific results for SEO and Google Ads due to the variable nature of these services. Our goal is to provide the best possible service based on the agreed strategy.
Social Media: We do not guarantee engagement levels or outcomes from social media campaigns, and we are not responsible for any negative feedback or outcomes from social media posts.
8. Liability
Limitation of Liability: DoubleClick’s liability is limited to the value of the services provided. We are not liable for any indirect, incidental, or consequential damages, including lost profits, resulting from the use or inability to use our services.
Disclaimer: We disclaim all liability for overspend on Google Ads, errors in social media content, and automation failures.
9. Intellectual Property
Ownership: The intellectual property rights to all work produced by DoubleClick remain with DoubleClick until full payment is received. Upon final payment, ownership of the work is transferred to the client.
Rights to Use: Clients are granted a non-exclusive, non-transferable license to use the materials provided by DoubleClick for their intended purpose.
10. Confidentiality and Data Protection
Data Handling: We handle client data with strict confidentiality and comply with relevant data protection regulations. Data provided to us will be used solely for the purpose of delivering the services and will not be shared with third parties without the client's consent.
11. Termination and Cancellation
Termination by Client: Clients may terminate the agreement with 30 days' notice. Early termination may result in cancellation fees equivalent to the remaining contract value.
Termination by DoubleClick: We reserve the right to terminate services immediately if the client breaches the terms of this agreement or fails to make timely payments.
12. Dispute Resolution
Governing Law: This agreement is governed by the laws of South Africa.
Dispute Resolution: In the event of a dispute, both parties agree to attempt mediation before pursuing legal action. If mediation fails, disputes will be resolved through arbitration in South Africa.
13. Amendments
Changes to Terms: DoubleClick reserves the right to amend these terms and conditions at any time. Clients will be notified of any changes via email or through our website. Continued use of our services following any changes constitutes acceptance of the new terms.
14. Miscellaneous
Entire Agreement: These terms and conditions constitute the entire agreement between DoubleClick and the client, superseding any prior agreements or understandings.
Force Majeure: DoubleClick is not liable for delays or failures in performance resulting from events beyond our reasonable control, including natural disasters, strikes, or interruptions in internet service.
